Code of Conduct

Preamble

evonos is a global medical technology company. We develop, design, and produce sophisticated and high-quality medical products and system solutions. Our products and services are designed to improve people's health and quality of life. At evonos, we aim for the highest reliability, stability, and quality in our products, in our processes, and in our conduct every day. Ethics and responsibility for the good of our stakeholders are the defining features of our mission statement.

 

Aim of the Code of Conduct

In this Code of Conduct, we have laid down binding standards and expectations for our daily behavior with the aim of making our business activities ethically irreproachable. All evonos directors, managers, and employees are bound by these principles. Managers have a special function as role models in this respect.

 

01 General Principles

evonos embraces sustainability and is committed to the highest ethical and quality standards. The following principles of conduct were derived from the Ten Principles of the UN Global Compact.

Economic success and socially responsible behavior are not a contradiction in terms – they are mutually dependent. We see sustainable and responsible conduct as an important basis for cooperation with our stakeholders and business partners.

In our dealings with our customers, business partners, employees, and owners, we always endeavor to act fairly and with integrity.

 

02 Social Responsibility of Our Business Partners

We are convinced that the acceptance of social responsibility is a key factor in a company’s long-term success and thus an essential component of value-oriented corporate management.
For this reason, we base our actions on the following principles:

  • We respect recognized human rights.
  • We proscribe child labor and any form of forced labor.
  • We promote diversity within the company and do not tolerate discrimination in the hiring and employment of staff.
  • We respect freedom of association and the formation of advocacy groups and are committed to protecting the rights of our business partners' employees in their business units.
  • We offer a safe and healthy working environment, safety-related training measures, and ensure the safety of our products and services.
  • We comply with the environmental standards that apply to us and are committed to the principles of sustainable economic management and to environmental protection as business values. We take effective measures that reflect our business partners' responsibility for the environment.
  • We compensate our employees appropriately and in accordance with applicable laws and industry standards.
  • Our business partners comply with applicable laws and industry standards.
  • The labor services of our employees are provided on the basis of a regular employment relationship as defined by national laws and industry standards.
  • We comply with all applicable laws on the protection of personal data, particularly that of employees, business partners, and customers.

 

03 Anti-Corruption

We do not tolerate any form of corruption or other unfair business practices. Transparency and openness are fundamental prerequisites for us to ensure trust and credibility in commercial practice and in our dealings with business partners.

Remuneration of consultants, agents, and other intermediaries must not be used to provide improper benefits to business partners, customers, or other third parties. We carefully choose our consultants, agents, and other intermediaries on the basis of appropriate selection criteria.

We avoid conflicts of interest that could lead to risks of corruption.

We accept or extend invitations only if they are appropriate, are not made in expectation of improper consideration or other preferential treatment, and do not violate applicable law (particularly anti-corruption laws). The same applies to the acceptance or granting of gifts, other gratuities, or benefits of any kind.

We do not tolerate any form of unlawful tangible or intangible benefits (including the offering of such benefits) for public officials or comparable persons (regardless of whether these benefits are provided directly or indirectly via third parties).

Unlawful tangible and intangible benefits of any kind (e.g., unlawful donations) to political parties, their representatives and to elected officials and candidates for political office are also not tolerated.

Donations are made by us solely on a voluntary basis and without expectation of any consideration in return. Sponsorship of individuals, groups, or organizations is not used to gain unlawful business advantages.

We take appropriate measures in our company to prevent money laundering and terrorist financing.

 

04 Conduct in Competition

We strive always to act as a fair and responsible market participant and expect the same from our business partners.

We comply with all relevant competition law requirements. In particular, we do not enter into any arrangements or agreements that influence prices, conditions, strategies, or customer relationships, especially regarding participation in tenders. The same applies to the exchange of competitively sensitive information and to any other conduct that improperly restricts or may restrict competition.

Particularly with regard to global business activities, we ensure compliance with all applicable laws governing the import and export of goods, services, and information, and with applicable embargoes and sanctions.

 

05 Compliance with the Code of Conduct

We take care to ensure that the principles set out in this Code of Conduct are observed by our employees.

Our employees use the opportunity to provide information about possible criminal acts via our existing whistleblower system.

We do not tolerate discrimination against individuals who report violations of the principles set out in this Code of Conduct.

We carefully select the suppliers that we use, communicate the principles set out in this Code of Conduct to them, and work to ensure that these principles are also complied with by our suppliers.

 

06 Entry into Force

This Code of Conduct will enter into force when it is published on the company website and replaces the previous guidelines on this subject.
